Commerce Trust Co Closely Held Analyst II

Position Description:

The purpose of this position is to oversee the acceptance of, and to coordinate the management of closely held securities held in Commerce Trust Company client portfolios. Officer provides day-to-day portfolio management decision making for a segmented specialty asset type, including, as applicable, buy, sell, or hold recommendations, asset acceptance, asset documentations; ongoing servicing including income collection, negotiating sales and compliance and risk management; Applies fiduciary administration principles to asset management situations.  

The officer will be responsible for an assigned portfolio of closely held securities whose underlying companies are structured as Limited and General Partnerships, C and S Corporations and Limited Liability Companies.  In this role, the officer must manage closely held securities according to the governing document, which might be a trust or agency document prepared by The Commerce Trust Company.  

The analyst will also be responsible for selling business valuation services, and completing business valuation engagements as required for gift/estate tax purposes, tax planning and transactions for Commerce Bank, CTC, and third parties contracted with for this service.  

Candidate Requirements:

Five to ten years of experience in the analysis, management, and valuation of privately held investments. Five to ten years of experience in Trust, Banking or Investment Management in a fast-paced environment with a focus on accuracy, service and accountability to deliver results, individually and with the team. College degree in general business, finance, real estate, accounting or management. Advanced degree and/or certification to include MBA, Masters, CFA, and ASA preferred. Excellent communication skills, preferably in a team and multi-location environment. Prefer someone with advanced knowledge of trust services including administration, tax and investments and capacity to identify problems and recommend solutions in an advice-based context. Advanced knowledge of business terms, trust and investment relationships and ability to interpret and summarize provisions of complex legal trust documents preferred. Advanced capabilities in financial statement analysis required as well as advanced knowledge of corporate governance and ability to understand restrictive shareholder, buy sell agreements, partnership and operating agreements. Must have advanced knowledge of the theory and techniques necessary to accurately price privately held securities and to negotiate their sale where appropriate. Must have advanced knowledge of estate and tax planning as it relates to valuation of privately held securities.

Full-time position.  Mon – Fri.  Clayton, Missouri location.
